Commercial risk advisory for corporate Australia

Risk, clearly understood.

We advise Australian organisations on complex commercial risk. We develop a precise understanding of your business and exposures, then structure the program around them.

Who we work with

Built for organisations with complex insurance and risk needs.

We work with organisations whose risks are too varied, too connected or too consequential for a standard package. We develop a deep understanding of those risks, then design an insurance and risk solution to address them.

That work involves more than one conversation. We work with the leadership team, owners, directors, the risk management team and the other stakeholders who hold part of the picture, so the solution reflects how the organisation actually runs.

Who we advise

  • ASX-listed entities.

Continuous disclosure, shareholder and regulatory obligations place sustained scrutiny on directors and executives. The program must withstand it.

  • Private and family-owned groups.

Multi-entity structures, founder-led decision making and succession planning require a program that reflects the link between personal and corporate risk.

  • Investor-backed businesses.

Acquisition, integration and exit activity alters the risk profile quickly, and the program must keep pace.

  • Property and real estate.

Significant asset portfolios, development exposure and licensee obligations. For agencies and franchise groups, see our real estate solutions.

  • Funds managers and financial services.

Professional, regulatory and fiduciary exposures, under the scrutiny of investors and regulators.

  • Growing mid-market businesses.

The stage at which a packaged policy is no longer sufficient and a considered program becomes necessary.

Insurance should follow the business, not the other way around.

Most programs start from last year’s policy schedule. We start from how your organisation actually operates.

Before we recommend anything, we invest the time to understand what drives your business, what it depends on and where it is exposed. The insurance solution comes from that understanding.

Our approach

How we work with corporate organisations.

A structured, in-depth review sits behind every program we design.

  1. Observe

We get to know your business in depth.

We go well beyond a renewal submission. We work through the business with the people who run it, and look at:

    • How the business creates value. Your business model, revenue drivers, customers and dependencies.
    • How the business operates. Locations, assets, supply chain, systems, suppliers and critical processes.
    • What the business has committed to. Contracts, warranties, indemnities and regulatory obligations.
    • Leadership and governance. Key person dependency, leadership and executive accountability, and director and officer exposure.
    • Financial position. Balance sheet strength, appetite for risk and the impact of a serious loss.
    • Loss and program history. Claims, near misses and how the current program has performed in practice.
    • Strategic direction. Growth, acquisitions, new markets, restructures and other change.

The format follows your organisation. It may include executive briefings, operational reviews, working sessions with your risk and finance teams, and analysis of your contracts and program documentation.

    You receive

A clear picture of your business and its exposures, including the risks that are uninsured, under-insured or not yet recognised.

  2. Analyse

We work out what it means for you.

We take what we have learned and test it. We look at realistic and severe loss scenarios, and at where your current program responds, where it is silent and where it overlaps. We bring market benchmarking and our own analysis to the question of how much protection is enough. Then we help you decide which risks to insure, which to carry and which to reduce at the source.

    You receive

A prioritised view of your risk, with clear reasoning behind limits, retentions and program structure.

  3. Protect

We build the solution around the business.

We design a program shaped by the review: structure, limits, retentions and wording that reflect your operations, contracts and risk appetite. Before we approach the market, we agree with you how the options will be judged, using the Contega Scorecard. We take it to market with a clear strategy, negotiate the wording and structure as well as the price, and explain the outcome in plain language.

    You receive

An insurance solution that fits the business, with the reasoning behind each decision made clear to your leadership team and stakeholders, and reviewed as your organisation evolves.

  4. Stay alongside

We keep the program aligned as the business changes.

After placement we keep the program aligned as the business changes, with one senior point of contact and regular conversations about your program, and we stay with you through claims.

What we place

Cover that is set against your actual exposure.

Complex organisations carry exposures well beyond this list. We arrange and structure cover across a broad range of classes, including specialist and non-standard risks.

Directors and officers liability

Protects the people who govern and lead the organisation. It responds when a director or officer faces a claim, investigation or proceeding arising from their decisions or conduct in that role. It can cover their legal defence costs and any personal liability, and it can protect the entity where it indemnifies them or, depending on the structure, where it is named in a claim. For listed entities and larger groups, it is typically arranged as a dedicated program with its own limits and structure.

Management liability

A broader program that protects the organisation as a whole. It typically brings directors and officers cover together with other management-related exposures, such as employment practices, crime and fidelity, so the leadership team is protected against a wider range of claims arising from how the business is run.

The difference, in short.

Directors and officers cover is focused on the personal exposure of the people who govern and lead. Management liability is the wider package: it includes that protection and extends to claims against the organisation itself arising from how it is managed. A smaller or growing business often suits a combined management liability program. A larger or listed organisation usually needs directors and officers cover built and structured on its own, with other lines arranged separately around it.

We advise on which structure fits your organisation, and on the limits, retentions and wording that sit behind it.

Other classes we place

  • Statutory liability

Regulatory exposure and defence costs, and penalties where they are insurable.

  • Professional indemnity

Cover that reflects what you advise on, who relies on it and what your contracts require.

  • Cyber liability

Response, recovery and liability cover matched to the data and systems you really depend on.

  • Property and business interruption

Sums insured and indemnity periods based on realistic loss, not rounded estimates.

  • Public and products liability

Limits and wording set against how you operate and what you have agreed to.

Why Contega

Boutique attention. Serious capability.

  1. We advise first.

We recommend protection because the analysis supports it.

  2. We show our working.

Every recommendation comes with the reasoning behind it, so your leadership team can see what is covered, what is not and why.

  3. We put real options in front of you.

We present alternative program structures and the trade-offs between them, assessed on the Contega Scorecard agreed with you, so you decide against genuine choices, not a single quote.

  4. Senior advisers, team-supported.

A senior adviser leads your program, with a dedicated team behind them, so advice reaches you when a decision needs to be made.

  5. We negotiate the outcome, not just the price.

Claims turn on what a policy actually says, so we read the wording closely and push where it matters. We also agree your cost objectives at the outset and negotiate towards them without trading away the quality of cover.

  6. We have the market behind us.

Deep insurer relationships give us access to capacity and the standing to negotiate well.

  7. Claims are handled by the team that knows your program.

Our in-house claims team manages the process with you from notification through to outcome.

  8. We use technology to see more.

Data and intelligent tools sharpen our view of your risk and improve the reporting your leadership team receives. Human judgement still makes the call.

Working with your stakeholders

Built to work with everyone who holds part of the picture.

Complex risk rarely sits with one person. We work with your leadership team, owners and directors, your risk and finance teams, general counsel and the other stakeholders who understand how the business runs. Expect clear reporting, practical recommendations and renewal planning well before the date. We support your internal team with market access, an outside view and the time to look closely at what day-to-day work rarely allows.

Claims

When it matters most, we are in the room.

A claim tests the program and the adviser behind it. We stay close to the claim at every stage, advocate on your behalf with the insurer and keep your leadership team informed on progress and next steps.
